General

These terms and conditions (“Terms”) explain your rights and obligations in relation to this web site located at www.partington-engineering.com (“site”) and any goods purchased through this site. Please read them carefully. You may have other rights granted by law and these Terms do not affect these. If there is anything you do not understand then please contact us.

Use of The Site

The content of and copyright in the site is owned by or licensed to us. You are permitted to view or print individual pages for your own personal use. Any other use must be with our prior written permission.

We reserve the right to suspend, restrict, or terminate your use of this site at any time.

Purchasing from Us

The site and the goods sold through it are subject to change without notice and we reserve the right to improve, alter or modify designs without prior notification.

Any illustrations, drawings, data regarding dimensions and weights or other properties of the contractual performance only reflect approximate values unless otherwise specified.

Drawings and documents shall remain the property of Partington Engineering Ltd .

Order requests received via telephone, email, fax or post are deemed as accepted only when they have been confirmed in writing by us. We are not obliged to supply the goods to you until we have confirmed that we have accepted your order.

By submitting your order, you are offering to buy the goods and allowing us to use your personal details for the purposes of supplying goods (including passing your details on to our couriers and other subcontractors we employ).

For orders based on specific drawings or models, the ordering party undertakes to guarantee that property rights of third parties are not infringed.
Over or under-deliveries are permissible.

Delivery

The terms and dates of delivery of goods only an approximate delivery date unless a written agreement is made in relation to them.

The delivery terms and date of delivery shall be deemed to have been satisfied if the goods are shipped or the purchasing party is informed of their readiness for shipping within the agreed time limit or on the agreed date.

If the purchasing party does not confirm acceptance of the proposed delivery date and time manner, we are entitled to amend the delivery date or time, within reason.

If there is a disruption to our delivery schedule due to force majeure, disputes or operational disruptions within our company or those of our suppliers, the delivery dates will be extended accordingly.

If the delivery term is not met for reasons for which we are accountable, no claims for compensation can be made if they do not relate to deliberate intent or gross negligence.

Additionally, the purchasing party is not entitled to claim compensation for the late delivery of part of a total order due to it not being delivered on time. Part deliveries shall be permissible provided that no agreement to the contrary is made.

Any further claims are excluded.

If the purchasing party fails to accept goods that are delivered on an agreed date, we shall be entitled to charge them for resulting storage costs of the delayed days from the confirmation of the initial delivery date to the date of the delivery.

Delivered goods.

All delivered goods remain the property of Partington Engineering until the purchasing party have settled the invoices and the monies received by us.

The purchasing party is not authorised to transfer the goods as collateral or to assign them as security.

In the event of seizure by third parties, the purchasing party must inform the third party of our ownership and inform us without delay of the situation as well as send us a copy of the seizure notice.

Warranty

We provide a 12-month warranty on all our products (1 year).

The receiving party must check the goods immediately upon receipt and inform us of any identifiable defects in writing within no more than 5 days.

In the unlikely event that the goods are defective, we will accept the return of the goods and send a replacement. Any further warranty claims are excluded.

The return of goods requires our prior and written consent. The purchasing or receiving party must comply with our request to make the defective goods available to us, giving us the opportunity to ascertain whether any defect exists.

If we let an agreed time period expire, without delivering a replacement or without having repaired a defect, the purchaser shall be entitled to claim for rescission of the sale contract or a reduction of the purchase price. The same shall apply if the replacement delivery or improvement fails.

We value complaints and use information from them to help us improve. If something goes wrong, or you are dissatisfied with our products or services, please tell us.

A complaint is an expression of dissatisfaction about our action or lack of action, or about the standard of products or service provided by us or on our behalf.

Your complaint may involve more than one service.

Anyone can make a complaint to us.

To help us to deal with your complaint quickly and effectively, please tell us:

• as much as you can about the complaint
• what has gone wrong?
• how you want us to resolve the matter

Our customers are very important to us, and we will always strive to resolve any complaints satisfactorily within 5 working days.

Limitation of Liability

All reasonable efforts have been made to try to ensure that the information contained on the site is correct and up to date.

However, we cannot guarantee this is the case and we shall not be liable for inaccuracies or for your reliance on incorrect or out-of-date information. We do not have any liability to you arising out of your use or inability to use the site. We will not be liable to you for any unforeseeable losses.

We will be excused performance of any of our obligations if caused by circumstances beyond our reasonable control or beyond the reasonable control of our suppliers, including without limit industrial disputes, war, flood, and changes in legislation.

Except as set out above or as otherwise set out in this agreement, we disclaim all terms, conditions, representations, and warranties (whether express or implied) to the extent permissible by law.

This site may contain links to other web sites not under our control. We accept no responsibility or liability for the content or availability of those sites.

We may not necessarily keep a copy of these Terms and your order. We advise you to print a copy of them for your information in the future.

f any section of the terms is held by a court or other competent authority to be unenforceable then that section shall be considered deleted and not apply but the rest of the Terms will.

This agreement is exclusively between us and no other person who is not a party to these Terms shall be entitled to enforce any term of this Agreement under the Contracts (Rights of Third Parties) Act 1999 (or any analogous laws).

The Terms are the entire terms and conditions between us in relation to your use of this site and any purchase made over the site and no other terms, conditions, or representations made by us and any of our employees or agents (unless made fraudulently) shall apply.

The Terms shall be governed by English law and the courts of England and Wales shall have non-exclusive jurisdiction over any dispute. All dealings, correspondence, and contact between us shall be made or conducted in the English language.
